Announces Closing of Flow-Through Private Placement Financing<\/h1>\n<p>[\/vc_column_text][\/vc_column][\/vc_row][vc_row content_placement=&#8220;middle&#8220;][vc_column][vc_column_text]<strong>Montr\u00e9al, Qu\u00e9bec, Canada, December 22, 2023 <\/strong>\u2013<strong> Manganese X Energy Corp. (TSXV: MN; FSE: 9SC) (<\/strong>\u201c<strong>Manganese X<\/strong>\u201d or the \u201c<strong>Company<\/strong>\u201d<strong>)<\/strong>\u00a0is pleased to announce it that it has closed a non-brokered private placement financing (the \u201c<strong>Private Placement<\/strong>\u201d) issuing an aggregate of \u00a08,230,000 flow-through common shares of the Company (the \u201c<strong>FT Shares<\/strong>\u201d, and each, an \u201c<strong>FT Share<\/strong>\u201d) at a price of $0.11 per FT Share, thereby raising total gross proceeds of $905,300 (the \u201c<strong>Proceeds<\/strong>\u201d).<\/p>\n<p>Each FT Share constitutes a \u201cflow-through share\u201d within the meaning of the\u00a0<em>Income Tax Act<\/em> (Canada) (the \u201c<strong>Tax Act<\/strong>\u201d) and the Proceeds will be used by the Company for exploration and related programs, which qualify as \u201cCanadian exploration expenses\u201d and \u201cflow-through critical mineral mining expenditures\u201d, as such terms are defined in the Tax Act, in respect of Manganese X\u2019s Battery Hill Project in New Brunswick.<\/p>\n<p>In connection with the Private Placement, the Company paid cash commissions totalling\u00a0$63,371\u00a0and issued a total of 576,099 finder warrants to certain finders, namely GloRes Securities Inc., as lead finder, and Marquest Asset Management Inc. Each finder warrant entitles the holder to purchase one common share in the capital of the Company at a price of\u00a0$0.15\u00a0until\u00a0December 22, 2025.<\/p>\n<p>All securities issued pursuant to the Private Placement are subject to a statutory four-month hold period expiring April 23, 2024.
